The Affiliate and Ciao Italy agree that:
-
Ciao
Italy will pay the Affiliate a percentage of the revenue (the commissions)
generated by sales resulting from the use of links/banners or co-branded
sites by clients. Commissions will be paid according to the following: 13%
of deposit rate for every individual sale/reservation.

The process by
which commissions are paid (the payment cycle) is defined as follows:
For reservations – Once a clients consumes a reservation, it becomes
commissionable. Commissions are to be
sent by Ciao Italy in the month immediately following that in which
Ciao Italy receives payment from the client.
Ciao Italy expects commission from it’s Affiliates in the same manner in
which Ciao Italy pays commission to it’s Affiliates.

In accordance
with the payment cycle as defined above, all commission checks, when earned
will be issued to the Affiliate (as well as from the Affiliate to Ciao Italy)
monthly, and no later than the 10th of the month, in US dollars.
Commission checks in currency other than US dollars will be issued quarterly.
Minimum payment in foreign currency will be no less than 500.00 (US) and
will be accrued until this minimum is reached.

Ciao Italy will
keep an account of all transactions subject to this agreement. Ciao Italy
will provide the Affiliate with monthly statements of all transactions and a
report stating the Affiliate’s net portion of all agreed
upon proceeds. Ciao
Italy will retain all records for a period of one year, at which time the
partnership will be reevaluated.

The
Affiliate agrees not to use information obtained from www.ciaoitaly.org
for chain letters, junk mail, “spamming”, solicitations
(commercial or non-commercial) or bulk communications of any kind including but not limited to distribution lists to any person
who has not given specific permission to be included in such a list. Not
withstanding the aforementioned, the Affiliate may market products and
services to it’s clients via email, provided however, that the client has
the ability to unsubscribe to such solicitations and cease to be a recipient
of such emails. If the Affiliate violates this Section 5, Ciao Italy has the
right to terminate this agreement without notice.

This agreement
shall be in effect the date that it is signed by both the Affiliate and Ciao
Italy and be continue in effect for one year. After one year the agreement
shall be assessed by both parties and shall be renewed or terminated
according to the wishes of either party.

Each party owns
and retains all rights to logos, titles, trademarks, service marks,
copyrights, patents, proprietary features, and proprietary technology.
Neither party shall copy, distribute, reproduce or use the above items
without previous written consent from the non-submitting party.

This agreement
sets forth the entire understanding between the Affiliate and Ciao Italy and
supercedes any and all oral or written agreements or understandings between
parties pertaining to the subject matter of this agreement. This agreement
may be modified only by a written agreement signed by both parties.

In no event shall
either party be liable for any claim, loss or damages caused by information
supplied by the other party. Ciao Italy is deemed faultless for any and all
claims, costs, liabilities, judgments, expenses, or damages (including
attorney fees) in connection with any cause of action brought against the
Affiliate by any third party relating to Ciao Italy’s web site content,
co-branded pages, and all information provided by the Affiliate. Similarly,
the Affiliate is faultless regarding any such claims by a third party
against information provided by Ciao Italy and presented on the Affiliates
web site.

This agreement
shall be governed and enforced in accordance with the laws of the Republic
of Italy.
